Terms of service

These terms are between you and Redstripes Media Ltd, company number 17523777, of 66, Paul Street, London EC2A 4NA, United Kingdom (“we”). They cover use of this website and, unless a written contract says otherwise, the IT and media services we supply.

Using this website

You may read this site and share links to it. You may not copy it, scrape it, or reuse the content, the mark, or the code, except for a short quotation with credit, or where the law allows.

The site is general information about our work. It is not an offer, and it is not advice. Examples, including any company described as fictitious, are illustrations only. They are not results, testimonials, or promises.

We do not give financial, debt, legal, or benefits advice. Nothing on this site, and nothing produced by any tool or AI we use, is advice to you or to your clients. A qualified person at the relevant organisation must make those decisions.

Work we do for you

Paid work starts only when we confirm it in writing, including by email. That confirmation, these terms, and any statement of work form the contract. If they conflict, the signed statement of work wins, then the email confirmation, then these terms.

The work may include content, social media, websites, hosting, apps, and connecting existing services. We will do it with reasonable care and skill. We do not promise a particular commercial result, audience size, search ranking, uptime, or income.

You will:

  • Give us accurate information and the access we need, in time.
  • Check drafts, including anything prepared with AI, before they are published or used.
  • Make sure you have the rights to anything you ask us to use.
  • Keep responsibility for advice given to your own clients, and for decisions made from summaries we organise.
  • Keep your own copies of content and data. Backups are your responsibility unless we agree otherwise in writing.

Dates are estimates unless we call them a deadline in writing. We may pause work if you are late with information, approval, or payment.

Price and payment

Fees are those we confirm in writing. Unless we say otherwise, invoices are due within 14 days. We may charge interest and costs on late business invoices under the Late Payment of Commercial Debts (Interest) Act 1998. We may stop work, and withhold files that have not been paid for, if an invoice is overdue.

Fees do not include third-party costs, such as domains, hosting, advertising spend, stock, or software licences, unless the quote says they do. Those costs are yours.

Acceptance

Please review deliverables promptly. If you do not reject them in writing within 7 days of delivery, stating what is wrong, or if you publish or use them, you accept them. After acceptance, further changes are new work.

Hosting and third parties

Unless a written service level says otherwise, hosting and sites are provided without a guaranteed uptime. We may suspend a site or account if we reasonably believe it is unlawful, insecure, abusive, or unpaid.

We are not responsible for third-party platforms and suppliers, including Meta, Google, domain registries, payment providers, or hosts we do not control. Their terms apply to your use of them. A change or outage on their side is not a breach by us.

Intellectual property

You keep ownership of your name, marks, and materials you supply. We keep ownership of our methods, templates, tools, and any pre-existing material. On receipt of the fees in full, we grant you a non-exclusive licence to use the finished deliverables for the purpose we agreed. We do not assign source code, reusable components, or our tools unless the contract says so in writing.

We may show the work, without your confidential information, as an example of our work, unless you tell us in writing not to.

AI

We may use AI to sort notes and prepare drafts. AI output can be wrong. You must check it before it is used or published. We are not liable for loss caused by AI output that you, or your staff, approved, published, or relied on without that check. AI is not used to give advice or to make a decision about a person.

What we do not promise

Apart from terms that the law says cannot be excluded, the website and any draft, tool, or example are provided as they are. We do not promise that the site will be uninterrupted or free of errors, or that content is complete or fit for a particular purpose.

Liability

Nothing in these terms limits or excludes liability for:

  • death or personal injury caused by negligence;
  • fraud or fraudulent misrepresentation; or
  • any other liability that the law does not allow us to limit or exclude, including rights you have as a consumer that cannot be waived.

Subject to that, and whether the claim is in contract, tort (including negligence), breach of statutory duty, or otherwise:

  • We are not liable for loss of profit, revenue, business, goodwill, anticipated savings, data, or followers, or for indirect or consequential loss.
  • We are not liable for loss caused by information you gave us, by your delay, by content you supplied or approved, by your use of a third-party platform, or by a decision you or your advisers made.
  • If you have not paid us for the matter in dispute, our total liability arising out of this website is limited to £100.
  • If you have paid us, our total liability arising out of a piece of work is limited to the fees you paid us for that piece of work in the 12 months before the claim arose.

You will indemnify us against claims, losses, and reasonable costs arising from materials or instructions you provide, from content you ask us to publish, and from your breach of these terms or of any law. This indemnity does not apply to the extent the claim is caused by our fraud or by our negligence causing death or personal injury.

Ending the work

Either of us may end a piece of work by written notice if the other materially breaks these terms and does not put it right within 14 days of being asked. We may end immediately if you become insolvent, or if continuing would break the law. You pay for work done up to that date. Clauses that should survive, including payment, intellectual property, liability, and indemnity, continue.

Other terms

We are not liable for delay caused by something beyond our reasonable control. These terms are the whole agreement for their subject, and they replace earlier discussions. A change must be in writing. If a court holds part of these terms unenforceable, the rest still applies. You may not transfer the contract without our consent. We may use subcontractors. Nobody else has rights under the Contracts (Rights of Third Parties) Act 1999.

Please tell us about a dispute and give us 14 days to respond before you start proceedings. These terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction, except that we may also bring a claim in your local courts to recover an unpaid invoice.
